Court of Appeal Dismisses Bad Black’s Ex-Lover’s US$3m Claim Against Meddie Ssentongo

The Court of Appeal has dismissed an appeal by Davenshan Development (U) Ltd and its director, David Greenhalgh, seeking to recover US$3 million from businessman Meddie Ssentongo over allegations that he received money allegedly obtained through the embezzlement of company funds.

In a judgment delivered in Kampala, a panel of three Justices of Appeal, Eva K. Luswata, Florence Nakachwa and Stella Alibateese, upheld the High Court’s decision dismissing the recovery suit, although it faulted the trial judge for relying on technicalities in questioning the legality of the company’s incorporation.

Justice Florence Nakachwa, who wrote the lead judgment, ruled that although the High Court was wrong to conclude that Davenshan Development had not been legally incorporated because of alleged non-payment of stamp duty, the company and Greenhalgh had nevertheless failed to establish that Ssentongo personally received the US$3 million they sought to recover.

The appeal arose from a dispute involving funds allegedly misappropriated from Davenshan Development by Shanita Namuyimbwa, a former director of the company, who was jointly charged with Ssentongo in an Anti-Corruption Court case involving conspiracy to defraud.

The company and Greenhalgh initially sued Ssentongo and Namuyimbwa, seeking recovery of US$4 million. However, following a consent settlement with Namuyimbwa, the claim against her was dropped, leaving Ssentongo as the sole defendant in the amended suit seeking US$3 million.

The appellants argued that Namuyimbwa had stolen money from the company and channelled some of it to Ssentongo, who allegedly received more than US$1 million on his personal account during the same period when the company’s accounts were credited with US$3.9 million.

The dispute followed the arrest and prosecution of Ssentongo and Namuyimbwa in February 2012. Namuyimbwa faced a separate charge of embezzlement, while both were jointly charged with conspiracy to defraud Davenshan Development.

On July 6, 2012, the Anti-Corruption Court convicted both accused of conspiracy to defraud the company.

However, Ssentongo denied receiving any money from the company, arguing that he had no business relationship with the appellants and that the case was driven by Greenhalgh’s suspicion that he had a relationship with Namuyimbwa.

He also challenged the legality of Davenshan Development’s incorporation, arguing that the company’s registration process was fraudulent and that its affairs had been jointly managed by Greenhalgh and Namuyimbwa, who had authority to withdraw money from its accounts.

The High Court, presided over by Justice Henry Peter Adonyo, dismissed the recovery suit in April 2015, finding that the appellants had failed to prove, on a balance of probabilities, that Ssentongo received the money.

Justice Adonyo also questioned the legality of the company’s incorporation, arguing that irregularities in the registration process undermined its claim and that there was no concrete evidence linking funds allegedly withdrawn by Namuyimbwa to Ssentongo’s personal bank accounts.

Dissatisfied with the decision, the appellants lodged Civil Appeal No. 118 of 2015, raising 11 grounds of appeal, including allegations that the trial judge failed to give proper effect to the earlier criminal conviction and wrongly rejected their claim on technical grounds.

In considering the appeal, Justice Nakachwa first struck out grounds six, seven and nine for failing to comply with Rule 86(1) of the Judicature (Court of Appeal Rules Directions), which requires grounds of appeal to be concise and free from arguments or narrative.

The judge then addressed the legality of Davenshan Development’s incorporation, rejecting the High Court’s conclusion that the company was illegally registered because of alleged failure to pay stamp duty on its share capital.

She explained that under Section 20 of the Companies Act, a certificate of incorporation issued by the Registrar of Companies constitutes conclusive evidence that a company has complied with the statutory requirements for registration.

However, she noted that courts can look beyond a certificate of incorporation where fraud is specifically alleged and established.

Ssentongo had challenged the company’s registration on several grounds, including failure by Greenhalgh to sign incorporation documents, alleged non-payment of incorporation fees, failure to allot shares and the use of proxies to execute company documents.

However, Justice Nakachwa observed that the main issue established during the trial concerned the alleged non-payment of stamp duty on the company’s share capital.

She explained that the Stamp Duty Act provides mechanisms for dealing with documents that have not been properly stamped, including impounding them and allowing payment of the outstanding duty together with applicable penalties.

Citing previous Court of Appeal decisions, including Wasukira Fredrick and Others v Harmony Group Ltd T/A Livingstone International University, the judge noted that courts should give parties an opportunity to regularise unstamped documents rather than dismissing cases solely on that basis.

She consequently ruled that Justice Adonyo should have allowed Davenshan Development an opportunity to pay the outstanding stamp duty and any applicable penalties before determining the case.

Justice Nakachwa also found that the intention of Greenhalgh and Namuyimbwa to establish a company limited by shares was clear and that Greenhalgh had subsequently ratified the lawyer’s signature by signing bank documents, after which the company continued operating normally.

She therefore concluded that the failure to pay stamp duty during incorporation amounted to a procedural irregularity that could be regularised, rather than proof that the company had been illegally incorporated.

The judge agreed with the appellants that the trial court had placed undue emphasis on technicalities at the expense of substantive justice, allowing grounds eight and 11 of the appeal.

However, the court rejected the appellants’ argument that Ssentongo’s earlier criminal conviction should automatically have settled the question of his civil liability for the alleged US$3 million.

Greenhalgh and the company had argued that the Anti-Corruption Court’s findings established that Ssentongo participated in defrauding the company and should therefore have prevented him from denying liability in the subsequent civil proceedings.

They relied on the doctrines of res judicata and collateral estoppel, which prevent parties from re-litigating issues or claims that have already been conclusively determined by a competent court.

But Justice Nakachwa explained that the two doctrines did not apply in this case because the criminal proceedings and the civil recovery suit involved different parties, causes of action and legal remedies.

She noted that the criminal case was Uganda versus Shanita Namuyimbwa and Meddie Ssentongo, involving charges of embezzlement and conspiracy to defraud, while the civil suit was brought by Davenshan Development and Greenhalgh against Ssentongo to recover money allegedly received by him.

The judge further explained that criminal proceedings are generally intended to establish criminal responsibility and protect public order, while civil proceedings determine private rights and liabilities.

She observed that although a criminal conviction may be relied upon as evidence in subsequent civil proceedings and carry significant evidential weight, it does not automatically bind a civil court under the strict doctrine of res judicata.

Consequently, she ruled that the High Court was entitled to independently examine whether the appellants had proved their claim against Ssentongo.

On the question of whether Ssentongo received the money, the Court of Appeal found that the appellants had failed to provide sufficient evidence linking him to the alleged US$3 million.

Justice Nakachwa particularly questioned the reliability of Namuyimbwa’s testimony, noting that she had previously told the Anti-Corruption Court that she had no dealings with Ssentongo but later claimed in the civil proceedings that she had given him US$3 million to purchase properties.

The judge observed that Namuyimbwa admitted using company funds at her discretion, including spending money on plastic surgery in Dubai, medical operations in Thailand and entertainment trips with friends.

She also testified about financing trips to Dubai, where she and her friends went clubbing, using company money.

Greenhalgh, who testified as the first prosecution witness in the civil proceedings, also told court that Namuyimbwa had used company funds to purchase several vehicles, including a BMW X6, Nissan Murano, Range Rover and Mercedes-Benz.

He further testified that she spent company money on parties, including a birthday celebration at Rogue Club, and purchased properties, including a house in Munyonyo and another known as the Pink House, which she later transferred to her mother.

However, Justice Nakachwa noted that Namuyimbwa’s allegations against Ssentongo were not supported by independent evidence.

She also relied on Greenhalgh’s own testimony during cross-examination, in which he admitted that Davenshan Development had never directly dealt with Ssentongo, that he was not a signatory to the company’s bank accounts and that there was no proof that he had withdrawn money from the company’s accounts.

Greenhalgh further acknowledged that the company’s auditor’s report did not show Ssentongo receiving US$3 million.

The company’s third witness, an auditor, also told court that, apart from what Namuyimbwa had reported, there was no evidence that Ssentongo received the money.

The auditor put the total amount withdrawn by Namuyimbwa at US$3.285 million but said he could not establish how she spent the money.

In her assessment, Justice Nakachwa held that the appellants had failed to establish the movement of funds from the company or Namuyimbwa to Ssentongo or his personal bank accounts.

She agreed with the High Court that Namuyimbwa’s testimony was unreliable, particularly because she had given contradictory sworn accounts in the criminal and civil proceedings.

The judge consequently dismissed grounds five and 10 of the appeal, which challenged the High Court’s findings on the failure to prove receipt of the money and its assessment of Namuyimbwa’s credibility.

In the final determination, Justice Nakachwa ruled that only grounds eight and 11 had succeeded, while the remaining grounds lacked merit.

She therefore proposed that the appeal be dismissed with costs to Ssentongo.

Justices Eva K. Luswata and Stella Alibateese agreed with the lead judgment, bringing the appeal to an end in Ssentongo’s favour.
